Serving on our Board

VWB/VSF Board Directors provide leadership to VWB/VSF Canada and are accountable individually as well as collectively for the work of the organization. As a Director of the organization, it is the fundamental role of each Board Director to advance the best interests of VWB/VSF Canada, and to exercise due diligence and to take fiduciary responsibility in supervising and directing the work of VWB/VSF Canada. Directors are required to bring independent judgement to bear in decision-making and to exercise primary loyalty to VWB/VSF Canada.

Directors serve in their individual, independent and voluntary capacity – they may not represent or otherwise act on behalf of another entity in their role as a Director of VWB/VSF Canada, may not be a staff member, and may not be remunerated for their work on the Board. Membership in the Board is incompatible with a senior position in a political party or with elected office in the national, provincial, territorial administrative, policy-making or legislative bodies of Canada.

VWB/VSF Canada recruits its Board primarily nationally and seeks to bring together an optimal blend of the highest level of skills and racial, ethnic, geographical and gender diversity. Directors are recruited on the basis of their skills, expertise and ability to support and advocate for the governance and strategic needs of the organization.

VWB/VSF Canada holds quarterly (virtual) meetings including a yearly AGM (September).

A Board Package with all documents, including draft minutes of previous meetings, current meeting agenda, materials and review, and proposed decisions, is sent electronically to all Directors at least five days in advance of a Board meeting. Directors have access to an shared folder with links to all Board policies and documents.

Responsibilities of new director positions:

Each individual board member is expected to:

  • Know the organization’s mission, vision, policies and programs
  • Understand the organization’s financial statements
  • Serve as active advocates and ambassadors for the organization
  • Leverage connections, networks, and resources to achieve and advance the organization’s mission
  • Prepare, attend, and actively participate in board meetings and in one or more committees

Desirable skillsets for new director positions:

1. International Development Sector

  • Three years’ experience within the international development sectorFamiliar with Canada’s Feminist International Assistance Policy and mainstreaming gender
  • A strong understanding of gender equality, power and its intersection with gender, race, culture, class, ability, religion, sexual orientation, ethnicity, and age

2. Senior Government

  • Three years’ experience at a senior level in federal, provincial, territorial, or municipal government.

3. Experience in Northern Canada

  • Lived experience and knowledge of Indigenous culture, history, and methodology in Canada’s North

4. Fundraising and Business Development

  • Experience of demonstrated success in sponsorship/ fundraising in the not-for-profit sector.
  • Experience and a passion for fundraising through Major Gifts, Grants (institutional, bi-lateral, foundation), Annual Giving, Legacy and Corporate Sponsorship
  • Comfortable engaging with external stakeholders in order to achieve fundraising initiatives

5. Resource Development

  • Knowledge of Global Affairs Canada and/or other bilateral, multilateral, institutional and private donors (foundations/corporations)

Additional competencies:

  • Previous Board experience an asset;
  • Knowledge of international NGO functioning within Canada; and
  • Demonstrated skills in lobbying, problem solving, policy making and risk assessment.

The ideal candidate will be at least 18 years of age and have the ability to enter into legal contracts. The Board constitutes the membership of VWB/VSF Canada as a corporate entity, which convenes at least once a year to conduct the specific business of the Annual General Meeting.
